1. Acceptance of Terms

By registering for, accessing, or using the Zelicra platform (“the Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Service. These Terms apply to all users, including tenant administrators, team members, and visitors.

2. Description of Service

Zelicra is a compliance management tool designed to help e-commerce and digital commerce businesses monitor and manage their regulatory obligations. The Service provides compliance checklists, order tracking, return management, complaint logging, influencer contract management, invoicing, and reporting features.

Important: Zelicra is a compliance management tool and does NOT constitute legal advice. Users should consult a qualified legal professional for guidance on compliance with applicable laws and regulations, including Kuwait Decree Law No. 10 of 2026.

3. Account Registration & Responsibility

To use the Service, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities conducted under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring only one account per business entity (multiple team members may be added under one tenant)

4. Subscription Plans & Pricing

Zelicra offers the following subscription tiers (all prices in KWD):

  • Free: 0 KWD/month — limited features, 50 orders/month, 1 team member
  • Starter: 9 KWD/month — PDF reports, Arabic invoicing, 200 orders/month, 2 team members
  • Professional: 29 KWD/month — bulk import, influencer tracking, unlimited orders, 10 team members
  • Enterprise: 79 KWD/month — white-label, API access, 5-year archive, unlimited team members

Annual billing provides a discount equivalent to 2 months free. Billing is processed monthly or annually in advance. All fees are non-refundable unless otherwise stated.

5. Free Tier & Trial Period

New accounts receive a 14-day free trial with access to core features. The Free tier may be modified or discontinued with 30 days written notice. Trial periods may not be extended except through authorized promotional codes or referral programs.

6. Refund Policy

Subscription fees already paid are non-refundable. No partial refunds are provided for unused portions of a billing period. If the Service is terminated due to a Zelicra-initiated breach, a pro-rata refund may be issued at our discretion.

7. Data Storage & Privacy

All user data is stored on servers located in Helsinki, Finland (European Union), provided by Hetzner Online GmbH. Our infrastructure is GDPR-compliant. Data is encrypted in transit using TLS 1.2+ and secured with industry-standard access controls. For full details, refer to our Privacy Policy.

8. Data Retention by Tier

  • Free: Data retained for 1 year from last activity
  • Starter: Data retained for 2 years
  • Professional: Data retained for 3 years
  • Enterprise: Data retained for 5 years

After the retention period, data may be archived or deleted. Users may request an export of their data at any time.

9. Service “As Is” Disclaimer

The Service is provided on an “as is” and “as available” basis. Zelicra makes no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or completeness. We do not guarantee uninterrupted service, error-free operation, or that the Service will meet your specific requirements.

10. Limitation of Liability

To the maximum extent permitted by law, Zelicra and its operators shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Data loss or corruption
  • Business decisions made based on compliance scores or reports generated by the Service
  • Regulatory outcomes, penalties, fines, or legal consequences arising from use of, or reliance on, the Service
  • Loss of profits, revenue, or business opportunities

Our maximum aggregate liability for any claims arising from these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

11. User Responsibilities

Users are responsible for:

  • Their own compliance decisions and regulatory obligations
  • Providing accurate and current business information
  • Maintaining backups of critical business data
  • Using the Service only for lawful purposes
  • Ensuring compliance with applicable laws independently of the Service

12. Prohibited Uses

You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Scrape, crawl, or extract data from the Service using automated tools
  • Resell, sublicense, or redistribute the Service without written permission
  • Use the Service for any illegal activity or in violation of applicable laws
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure

13. Intellectual Property

All code, design, branding, logos, documentation, and software comprising the Zelicra platform are the intellectual property of Salvus Paul / Zelicra. Users retain full ownership of their business data entered into the Service. We claim no ownership rights over user-generated content.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zelicra, its operators, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

15. Account Termination

Zelicra may terminate or suspend your account for violation of these Terms with 30 days written notice, except in cases of egregious violations where immediate suspension may be necessary. You may delete your account at any time by contacting support. Upon account deletion, your data will be permanently removed within 30 days.

16. Third-Party Services

The Service integrates with or relies upon the following third-party providers:

  • Resend.com: Transactional email delivery
  • Hetzner Online GmbH: Server hosting (Helsinki, Finland, EU)
  • Let's Encrypt: SSL/TLS certificate authority

We are not responsible for the availability, performance, or policies of third-party services.

17. Governing Law & Dispute Resolution

For GCC-based customers, these Terms shall be governed by and construed in accordance with the laws of the State of Kuwait. For international customers, these Terms shall be governed by the laws of the United Kingdom.

Any disputes arising from these Terms shall first be subject to good faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in the jurisdiction corresponding to the applicable governing law.

18. Modifications to Terms

Zelicra reserves the right to modify these Terms at any time. We will provide at least 30 days notice of material changes via email. Continued use of the Service after the effective date of modified Terms constitutes acceptance of the changes.
